Terms of Service — SignalStream

These Terms of Service (“Terms”) govern your use of the SignalStream server-side tracking service operated by Harper Agency (“we”, “us”, “our”) at harper.agency. By subscribing to SignalStream or installing the SignalStream plugin, you (“merchant”, “you”) agree to these Terms.

1. Service Description

SignalStream is a server-side event relay service for e-commerce platforms. The service receives order and conversion events from platform plugins installed on merchant stores and forwards them to configured advertising platforms (Google Analytics 4, Meta Conversions API, TikTok Events API).

The service does not replace client-side pixels. It operates in addition to or independently of browser-based tracking and is designed to capture events that ad blockers or browser restrictions may prevent from reaching advertising platforms.

2. Subscription Plans

2.1 Plan Tiers

Annual plans are billed once per year. Monthly plans are billed on a recurring monthly basis.

2.2 Free Trial

All plans include a 10-order / 10-day free trial — no credit card required. Whichever limit is reached first ends the trial. Events are not forwarded after trial expiry until a paid plan is activated.

2.3 Plan Limits

Order limits are counted per calendar billing cycle. If your store exceeds the plan limit in a given month, event forwarding pauses until the counter resets at the start of your next billing cycle. You will receive in-dashboard notices as you approach your limit.

2.4 Billing

Subscriptions are processed through WooCommerce on harper.agency. Payment is due at the start of each billing period. If a payment fails, your account enters a past-due grace period. Events continue forwarding during the grace period. If payment is not resolved within 7 days, the account is suspended and event forwarding stops.

3. Licence Key and Domain Lock

Upon subscribing, you receive a licence key. This key:

• Must be entered into the SignalStream plugin settings on your store
• Is locked to the domain of your store on first use
• Must not be shared with or used on stores you do not own or operate

4. Acceptable Use

You agree not to use SignalStream to:

• Forward events from stores or domains you do not own or have authorisation to operate
• Track individuals without a lawful basis under applicable privacy law
• Attempt to circumvent plan limits through technical means
• Reverse-engineer, resell, or sublicence the service

We reserve the right to suspend accounts that violate these terms without notice.

5. Merchant Responsibilities as Data Controller

SignalStream acts as a data processor on your behalf. As a merchant, you are the data controller for your customers’ personal data and are responsible for:

• Maintaining a privacy policy that discloses server-side tracking
• Obtaining any consent required under GDPR, CCPA, or other applicable law
• Ensuring you are authorised to send conversion data to the ad platforms you configure (Google, Meta, TikTok)
• Complying with each platform’s terms of service regarding data transmission

We provide technical infrastructure. Compliance with privacy law is your responsibility as the data controller.

6. Data Processing Agreement

By accepting these Terms, you also enter into a Data Processing Agreement (DPA) with us, under which:

• We process personal data only on your documented instructions (forwarding events to configured platforms)
• We implement appropriate technical and organisational security measures
• We do not sub-process data beyond the ad platforms you configure
• We assist with data subject requests to the extent technically feasible
• We delete event log data after 90 days

7. Uptime and Service Levels

We aim to maintain high availability of the SignalStream API but do not guarantee specific uptime. The plugin is designed to fail silently — if the API is unreachable, the event is dropped locally and checkout is not affected.

We are not liable for missed conversion events due to API downtime, network issues, or changes to advertising platform APIs.

8. Advertising Platform Changes

Google, Meta, and TikTok may change their APIs, policies, or event requirements at any time. We monitor these changes and aim to update the service promptly, but we cannot guarantee uninterrupted compatibility with third-party platforms.

9. Cancellation and Refunds

You may cancel your subscription at any time from your account at harper.agency/my-account/signalstream. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing period.

If you cancel within 14 days of your first paid charge and have not exceeded 50 orders, contact us for a full refund.

10. Limitation of Liability

To the maximum extent permitted by law, Harper Agency’s total liability for any claim arising from use of SignalStream shall not exceed the amount you paid in the 3 months preceding the claim.

We are not liable for:

• Lost revenue or missed conversions
• Inaccurate attribution data
• Changes to advertising platform algorithms or policies
• Data breaches originating from third-party ad platforms

11. Indemnification

You agree to indemnify and hold harmless Harper Agency from any claims, damages, or expenses (including legal fees) arising from your use of SignalStream in violation of these Terms or applicable law.

12. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by email to the address on your account. Continued use of the service after the effective date of changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the Province of Ontario, Canada.
